Terms of Service
The agreement between your business and Phone Validator LLC for using phonevalidator.com, our lookups, batches and API.
Effective October 22, 2026. Version 2026-10-22.
The short version
This summary helps you find your way around. The full Terms below are what apply.
- Businesses only. Phone Validator is a tool for businesses checking phone numbers they already have. It isn't for personal use, and it isn't people search: we don't tell you who a number belongs to.
- Your data stays yours. We process the numbers you send only to provide the Service to you, as our Data Processing Addendum describes. We don't sell them, share them for advertising, combine them with other customers' data or use them to build any database. Our Data Processing Addendum is part of these Terms.
- Results are information, not a guarantee. Phone data changes constantly and comes partly from our data providers (the telecommunications data companies we license data from), so results can be wrong or out of date. A result isn't consent to call or text, and you can't use results to decide whether someone gets credit, insurance, a job or housing.
- You're responsible for how you use results, including telemarketing, consent and Do Not Call rules. If someone sues us or our data providers because of how you used results, for example over your calls or texts, you pay our defense costs and any settlement or judgment (Section 14).
- Follow the Acceptable Use Policy. No scanning number ranges, harvesting, or using us to identify or locate people.
- Reselling is allowed without a separate agreement, if you pass our usage rules on to your customers and stay responsible for them (Section 6.4). This includes checking clients' numbers as an agency or service provider: you pass our rules on, check that your customers are legitimate businesses, keep records of those checks for 2 years, and forward requests to stop looking up a number.
- Keep your API keys safe. You're responsible for use of your account and keys, including automatic refills that use triggers, unless it's our fault or happens after you report a compromise and we've had time to revoke access. Automatic refill stops at the number of charges per 24 hours set in your account. If you dispute a card payment with your bank, we may reverse the funds and pause your account until it's resolved (Sections 3, 8.5 and 8.7).
- Prepaid funds don't expire while your account is open. They aren't refundable, and you lose any remaining balance when you close your account, except where Section 8.3 gives a refund. We won't close an inactive account that still holds purchased funds.
- Prices can change. We give at least 30 days' notice of an increase for a product you've used recently (60 days for resellers who tell us), and new prices apply to funds already in your balance. You can close your account before an increase takes effect and get a refund of your unused funds (Section 8.3).
- Our liability is limited to the greater of what you paid us in the previous 12 months and $100. Your liability for misuse, breaking the law and claims under Section 14 isn't limited, except that a reseller that follows Section 6.4 has capped liability for its customers' misuse (Section 6.4(d)). Disputes go to individual arbitration, usually by video, and claims must be brought within one year.

1. The agreement
1.1 Who the agreement is between. These Terms of Service ("Terms") are an agreement between Phone Validator LLC, a California limited liability company ("Phone Validator", "we", "us"), and the business that uses our services ("Customer", "you"). The services are the phonevalidator.com website, free and account web lookups, batch processing, the API, our integrations and apps, and related support (together, the "Service").
1.2 What makes up the agreement. The agreement consists of these Terms, the Acceptable Use Policy, the Data Processing Addendum ("DPA"), the prices shown on our website or in your account when you buy, and any order form or other written agreement signed by both of us (together, the "Agreement"). Our Privacy Policy explains how we handle personal information about visitors and customer contacts; it is not part of the Agreement.
1.3 How you accept. You accept the Agreement by creating an account, agreeing at sign-in, placing a batch order, using an API key, installing one of our apps, using a free lookup after being shown these Terms, or continuing to use an account, API key or app, including for paid lookups, after we have notified you of these Terms. Reading our public pages, contacting us or making a privacy request doesn't make you a Customer or bind you to these Terms. If you accept on behalf of a company or other organization, you confirm that you have authority to bind it, and "you" means that organization. If you don't agree, don't use the Service.
1.4 Business use only. The Service is offered only to businesses and other organizations, and to individuals acting for them in a professional capacity, for business purposes. It is not offered for personal, family or household use. This applies to every part of the Service, including free lookups without an account.
1.5 Eligibility. You may not use the Service if you are located in, organized under the laws of, or acting for a person in a country or region subject to comprehensive U.S. sanctions, or a "country of concern" under the U.S. Department of Justice data security rule (28 C.F.R. part 202); or if you, or anyone who owns or controls you, appears on a U.S. government restricted-party list. We may decline or close any account at our discretion.
2. The service
2.1 What the Service does. You give us phone numbers and we return information about the numbers themselves, such as whether a number is valid and in service according to numbering-plan data, its line type (for example mobile, landline or VoIP), its carrier, whether it has been ported, and the area its number block is assigned to.
2.2 What the Service does not do. The Service does not identify, and we do not provide, the name, address, identity, demographics or any other information about the person or business that holds a number. It is not a people search, reverse phone lookup or background check service. "Location" in a result means the area where the number's block was assigned (its "rate center" or region) in public numbering records, not where the person or phone is now. It is not based on GPS, cell towers or the number's user.
2.3 Where results come from. Results are derived from public numbering-plan data (such as NANPA and Canadian numbering records), open-source numbering libraries, our own curated rules and third-party telecommunications data providers ("Data Providers"). We license data from Data Providers and do not control it.
2.4 Changes to the Service. We may add, change or remove features, data fields, Data Providers and API versions. If we remove a feature you pay for, or retire an API version, in a way that materially reduces the Service, we will give you at least 30 days' notice where reasonably possible (60 days if you resell under Section 6.4 and have told us so at legal@phonevalidator.com), or longer if our API documentation promises it. We may make changes immediately when a Data Provider, regulator or law requires it, or to protect the Service or other people.
2.5 Availability and support. We work to keep the Service available and fast, but we don't promise any particular uptime or response time unless an order form says so. Planned maintenance, Data Provider outages and events outside our control can interrupt the Service. Support is by email at info@phonevalidator.com.
2.6 Free lookups and promotional credit. We may offer free lookups, trial credit or other promotions. They are subject to limits we set, may be changed or withdrawn at any time, and are provided as is, without any of the commitments in these Terms that depend on payment. Section 5 and the DPA still apply to free lookups. Free lookups are offered at our discretion: we may limit, slow, block or refuse them for any person, account, device, network or region, at any time, for any lawful reason and without notice, for example to prevent abuse or protect our Data Providers.
2.7 Suppressed numbers. Once we complete a request to stop looking up a number (see our Privacy Policy), we don't look it up for anyone. Results for that number show no carrier data and may read "no record" or "invalid", so an "invalid" result doesn't always mean the number is invalid. Batch rows are charged as quoted, including any suppressed rows.
3. Accounts and API keys
3.1 Your account. You must give accurate account information and keep it current. You are responsible for everything done through your account, your API keys and your integrations, whether or not you authorized it, unless it results from our breach of the Agreement, and for the people and systems you allow to use them. You aren't responsible for use after you tell us at security@phonevalidator.com that a key or your account is compromised and we've had a reasonable time to revoke it. If you tell us, within 30 days after an automatic refill charge, that the use that triggered it was unauthorized, we will refund that charge to the extent its funds are still unused.
3.2 Keeping access secure. Keep sign-in methods and API keys secret. Don't put API keys in web pages, mobile apps or other places where the public can read them. Tell us promptly at security@phonevalidator.com if you believe your account or a key has been compromised. Revoke keys you no longer need. We may revoke a key that we believe is exposed, and we will tell you if we do.
3.3 One business per account. Don't share an account between unrelated businesses, and don't create multiple accounts to get around limits, prices or promotions. Separate accounts for different people or teams in your business are fine, but promotional credit applies once per business.
4. Acceptable use
You must use the Service only for lawful business purposes and in line with the Acceptable Use Policy. Among other things, it prohibits scanning, enumerating or harvesting phone numbers, using the Service to identify, locate or track people, reselling except as Section 6.4 allows, and using results for purposes regulated by the Fair Credit Reporting Act.
5. Your data and our role
5.1 Customer Data. "Customer Data" means the phone numbers, files and other content you or your integrations submit to the Service, and the results we return for them. As between us, you own the phone numbers, files and other content you submit. We handle all Customer Data, including results, only as your service provider under Sections 5.2 and 5.3. Your right to use results is set out in Section 6; we and our licensors keep all other rights in the reference data used to produce them. Customer Data includes free lookups: we run each free lookup for the business that submits it, as its service provider, and the DPA applies to it as Section 2.5 of the DPA describes.
5.2 Our role. We process Customer Data on your behalf, as your service provider and processor, only to provide the Service to you, under the DPA. The DPA is incorporated into these Terms and controls if it conflicts with them on the handling of personal information.
5.3 What we never do with Customer Data. We do not:
- sell Customer Data, or share it for cross-context behavioral advertising;
- use it for our own marketing, or for profiling the people numbers belong to;
- combine it with other customers' data, or use it to build, enrich or maintain any database or list of phone numbers or of the people or businesses who use them; or
- keep it longer than our published retention periods, except as the DPA allows, such as in encrypted backups until they expire, or when the law requires it.
5.4 Service data. We collect information about how the Service is used, such as request counts, timing, errors, prices and API key usage ("Service Data"). We use it to run, bill for, secure and improve the Service, and we may publish or share it only in aggregated form that does not identify you, any phone number or any individual. Service Data does not include the numbers you submit or their results.
5.5 Your rights to the data you send. You confirm that you have all rights, notices and permissions the law requires to submit Customer Data to us and to have us process it as the Agreement describes. Submit only the phone numbers you need checked. Don't send other information, such as names, contact details or health, financial or other sensitive information, unless a feature specifically asks for it. Our batch tools are designed to upload only the phone column for this reason.
5.6 Legal requests. If a government or court demands Customer Data from us, we will tell you before disclosing it unless the law prohibits us from doing so, and we will disclose only what is legally required.
6. Using and reselling results
6.1 Your use. Subject to the Agreement and payment of fees, you may use results for your own internal business purposes, and keep them in your own records and systems, such as your CRM, for those purposes.
6.2 Restrictions. Except as Section 6.4 allows, you may not:
- sell, license, rent, publish or otherwise provide results, or access to the Service, to third parties;
- use results to create, enrich or sell a database, list, directory or data product; or
- remove or misstate where results came from when you share them inside your organization.
Sharing results with your own contractors and service providers who process data for you is fine, as long as they use results only for you and you remain responsible for them. Checking leads your business generated, such as from your own forms, ads or calls, before you sell them is allowed, and you may tell a buyer whether a lead passed your checks. Delivering the results themselves, such as line type or carrier, with a lead is allowed only under Section 6.4.
6.3 Data Provider requirements. Data Providers may require restrictions on how their data is used. If a Data Provider imposes new requirements or limits our rights, we may add requirements, or change or stop affected parts of the Service, by notice, and you must follow them. Our Data Providers' identities are our Confidential Information, and you will not disclose them except as Section 7.4 of the DPA allows.
6.4 Reselling. You may use the Service to provide results to your own customers as part of a product or service you offer them, as their service provider: you check numbers your customer obtained, for that customer, and return results only to it ("Reselling"). This includes reselling lookups, offering list cleaning or validation to clients, and embedding results in your software, under your own brand. You don't need a separate agreement with us. If you resell:
- you deliver each result only to the customer whose request produced it, for its internal business use, which may include returning its own file with results added. You may not give customers direct access to the Service or your API keys, reuse a result for another customer, or sell, license or deliver results as a database, list or data feed compiled from more than one customer's requests;
- before delivering results to a customer, you act as its service provider or processor under written terms that meet the Data Protection Laws (as defined in the DPA) that apply to you and allow you to use us as your subprocessor on the terms of our DPA. You also bind it to written terms, which may be online terms it accepts electronically, that: prohibit the uses in Sections 2 to 6, 8 and 9 of the Acceptable Use Policy; prohibit further resale, except that it may check its own clients' numbers for those clients under terms that meet this Section 6.4(b); make it responsible for its own TCPA, Do Not Call, FCRA and privacy compliance; disclaim warranties and liability for your suppliers at least as much as Sections 12 and 13 do; and name your suppliers and their data providers, which you may describe generically, as third-party beneficiaries entitled to enforce them. You take reasonable steps to enforce those terms;
- you take reasonable steps to confirm that each customer is a legitimate business, and you don't serve anyone we couldn't serve directly under the Agreement. Reasonable steps are risk-based, such as checking a business email domain or website and screening against U.S. sanctions lists, with more checks for high or unusual volumes. For self-serve customers, confirming a working business email domain or website and automated sanctions screening at signup are enough unless volumes or other signs call for more. Keep records of what you checked, when, and the result, for 2 years after you stop serving the customer;
- you are responsible for your customers' use of the Service and results as if it were your own, including under Sections 13.3 and 14. But if you bound the customer as Section 6.4(b) requires (where it applies), did the checks in Section 6.4(c), didn't know of or facilitate the misuse, and acted as Sections 6.4(h) and (k) require once you learned of it, your total liability to us and our Data Providers for all of that customer's misuse together, including under Section 14.1 and despite Section 13.3, is limited to the greater of 3 times the amounts you paid us (not counting promotional credit) in the 12 months before the first misuse giving rise to liability and US$10,000, plus anything you recover from that customer, which you will pursue in good faith;
- you don't name our Data Providers except as Section 7.4 of the DPA allows, though you may describe them as Annex 3 of the DPA does;
- when a number's holder or their authorized agent asks you to stop looking up a number, you stop submitting it for all of your customers within 10 business days (your customer terms must allow this) and pass the request to us within 5 business days through our privacy request form or info@phonevalidator.com;
- if we reasonably suspect misuse, or a Data Provider, regulator or law requires it, you identify the customers concerned, with volumes, and show us your customer terms and checks. We treat this as your Confidential Information, won't use it to solicit your customers, share it with a Data Provider or regulator only as far as it requires and under confidentiality, and won't contact your customers except as Section 6.4(h) or the law requires;
- we may require you to stop serving a particular customer, or suspend the Service for that customer's use, under Section 9.2. Where practical, we will first ask you to stop serving the customer, and limit any suspension to the API keys used for it;
- we may restrict or end Reselling, generally or for you, on at least 60 days' notice, or on shorter notice if a Data Provider, regulator or law requires it, or immediately if you materially breach this Section 6.4. We are not liable to you or your customers for doing so, other than refunding your unused purchased balance if the restriction isn't caused by your breach;
- you don't describe results as coming directly from carriers or real-time network queries, or as Do Not Call, reassigned-number or consent checks, and you don't suggest that we endorse you; and
- you tell us promptly if you learn that a customer misused results, and what you did about it.
Offering your own API, app or integration that calls ours for your customers' requests is allowed, as long as your customers authenticate to you and never see our keys. You may combine a result with other data to give that customer your own outputs, such as a score, and use statistics that contain no phone numbers or per-number results to run and improve your service, but not to build a database of numbers or their characteristics, or a model that predicts line type, carrier or porting. Reselling doesn't cover personal data subject to the EU or UK General Data Protection Regulation; ask us for a signed agreement for that.
If you only check numbers for your own business, including leads you buy or generate, this Section 6.4 doesn't apply to you. If you check a client's numbers as part of a larger service and results never leave your organization, that is still Reselling, but Section 6.4(b) doesn't apply.
7. Your compliance responsibilities
7.1 Laws that apply to you. You are solely responsible for complying with all laws that apply to your business and to your use of the Service and results. These include privacy and data protection laws; telemarketing, texting and consumer protection laws, such as the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, state telemarketing and "mini-TCPA" laws and the CAN-SPAM Act; the Gramm-Leach-Bliley Act (GLBA); and export and sanctions laws.
7.2 Calling, texting and consent. A result does not establish, and is not evidence of, consent to call or text a number. It is not a determination of whether a number is on a Do Not Call list, whether it has been reassigned, or whether a call or message is lawful. We don't provide Do Not Call scrubbing or access to the FCC Reassigned Numbers Database, and using the Service doesn't give you that database's safe harbor. Line type and porting data can lag behind real changes. You are solely responsible for obtaining and documenting consent, scrubbing against Do Not Call and reassigned-number data, honoring opt-outs and calling hours, and every other requirement that applies to your calls and messages. We don't make, initiate or send calls or messages, or decide whom you contact.
7.3 Not a consumer reporting agency. Phone Validator is not a consumer reporting agency, and results are not consumer reports, as those terms are defined in the Fair Credit Reporting Act (FCRA). You may not use the Service or any result, in whole or in part, as a factor in deciding any individual's eligibility for credit, insurance, employment, housing, government benefits or any other purpose regulated by the FCRA or a similar state law. You may not give results to a consumer reporting agency. You may use results to detect fraud, verify contact information you collected, or keep your records accurate, as long as you don't use them for those eligibility decisions or as the basis for an adverse action (a denial or worse terms) against an individual. For example, you can use a result to decide how to contact a lead or to ask someone to confirm their number, but not to decide whether someone gets a policy, a loan, a job or an apartment, or what they pay. If you use a result to ask for more verification and the person can't complete it, base any decision on that verification, not on the result.
7.4 Financial services customers. If you are a financial institution, or work for one (for example in mortgage lending or lead generation), you are responsible for determining whether the data you submit is nonpublic personal information under the GLBA and for meeting your own obligations. We handle it under the safeguards in the DPA and use it only to perform the Service for you.
7.5 No legal advice. Nothing on our website, in results or from our staff is legal advice. Get your own legal advice about the laws that apply to you.
8. Fees, prepaid funds and payment
8.1 Prices. Prices are shown on our website and in your account, or in an order form. We charge for each lookup we complete, including lookups whose result is that a number is invalid or not found, and including duplicate numbers you submit. We do not charge for a lookup that fails because of our error or a Data Provider error and returns no result. Section 2.7 explains charges for suppressed numbers.
8.2 Prepaid funds. Account lookups and API use are paid from a prepaid balance. You add funds by card or other methods we offer. Each charge is deducted from your balance when the lookup completes. We may hold funds for a lookup or batch while it is processing. If your balance can't cover a request, we may refuse it.
8.3 No expiry, no refunds. Purchased funds do not expire while your account is open, and we charge no inactivity or dormancy fees. Funds are not refundable and have no cash value, except:
- if we close your account or end the Service for reasons other than your breach, or you end the Agreement under Section 9.3 because of our uncured material breach, we will refund your unused purchased (non-promotional) balance;
- if you close your account during the notice period for a material change to these Terms, as described in Section 16, or within 30 days after we first ask you to accept a new version of these Terms instead of accepting it;
- if, under Section 2.4 or 6.3, we remove or restrict a feature, data field or API version you used in the 90 days before the change in a way that materially reduces the Service for you, and you close your account within 30 days after the change takes effect;
- if we increase the price of a product you used in the previous 90 days and you close your account before the increase takes effect;
- if you close your account, or ask us to delete your account information, to exercise a privacy right, and you ask us for a refund when you do;
- where the law requires a refund, or we correct a billing error; or
- as Sections 3.1, 6.4(i), 9.3 and 14.2 and Section 7.3 of the DPA provide.
Funds you bought in the 30 days before October 22, 2026 stay refundable on request until 30 days after their purchase, as our earlier terms provided.
Promotional credit, such as signup credit, has no cash value, is used before purchased funds, and may expire or be withdrawn.
8.4 Batches. A batch is priced when you upload it, based on the number of non-blank rows, any volume discount and any minimum order charge shown in the quote, and must be paid before processing starts, by card, invoice or account balance where offered. A batch that isn't paid within its stated deadline expires. Once processing has started, batch fees are not refundable, except for our error.
8.5 Automatic refill. If you turn on automatic refill, you authorize us and our payment processor to charge your saved payment method for the amount you choose whenever your balance falls below the threshold you set, until you turn it off. Automatic refill won't charge more often in any 24 hours than the limit set in your account (3 unless you change it, up to 20). When it reaches the limit it pauses until the oldest of those charges is more than 24 hours old, and we email you. You can turn it off at any time in your account.
8.6 Taxes. Prices do not include taxes. You are responsible for any sales, use, value-added or similar taxes on your purchases, other than taxes on our income. If we are required to collect a tax, we will add it to your charge.
8.7 Payment disputes. If you think a charge is wrong, tell us within 60 days of the charge at info@phonevalidator.com, and we will work with you in good faith to resolve it. If you dispute a payment with your card issuer or bank instead, we may place a hold on your account, reverse the disputed funds from your balance (which can leave a negative balance), and suspend purchases and lookups until the dispute is resolved. You agree to pay any amount found to be owed.
8.8 Price changes. We may change prices. A change applies to lookups and purchases made after it takes effect, including lookups paid from funds already in your balance. We will give at least 30 days' notice of an increase to the per-lookup price of a product to every account that holds a purchased balance or has used that product in the previous 90 days. If you resell under Section 6.4 and have told us so at legal@phonevalidator.com, the notice is at least 60 days. If a Data Provider's price change requires less notice, we will give as much as we reasonably can.
8.9 Payment processor. Card payments are processed by Stripe. We never receive your full card number. Your use of Stripe's checkout is subject to Stripe's terms.
9. Suspension and termination
9.1 Closing your account. You can close your account at any time from your account settings, or by emailing us. When you close your account, your API keys stop working immediately. Any remaining balance is forfeited, except as Section 8.3 provides. Closing doesn't affect amounts you already owe.
9.2 Suspension. We may suspend all or part of your access, including specific API keys or features, without prior notice, if we reasonably believe that:
- you have breached the Acceptable Use Policy or Section 6 or 7;
- your use poses a security, fraud or legal risk to us, a Data Provider or anyone else;
- a Data Provider, regulator, court or law requires it; or
- a payment has failed or been disputed.
We will tell you about the suspension and the reason, unless we are not permitted to or doing so would create a risk. We will restore access once the issue is resolved.
9.3 Termination. Either of us may end the Agreement if the other materially breaches it and does not cure the breach within 30 days after written notice. We may end the Agreement immediately for a serious or repeated breach of the Acceptable Use Policy or Section 6 or 7, or if we stop offering the Service. We may also end the Agreement for any reason with 30 days' notice, in which case Section 8.3(a) applies. If we end the Agreement because of your breach, we may apply your remaining purchased balance to amounts you owe and to losses, costs and liabilities we reasonably incur from the breach, including under Section 14, and we will refund any remainder within 90 days after termination, except amounts we hold for claims already made against us, which we will refund when they are resolved.
9.4 Effect of termination. When the Agreement ends, your right to use the Service ends. We delete Customer Data on the schedule in the DPA and our Privacy Policy. Sections 3.1, 5.3, 5.5, 6, 7, 8 (for amounts owed and refunds), 9.3, 9.4 and 10 through 18 survive.
9.5 Dormant accounts. We may close an account that has had no sign-in, API use or purchase for 36 months and has no purchased balance. We will email the account owner at least 30 days before doing so.
10. Confidentiality
Each of us may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential, including Customer Data, security information, non-public pricing, the terms of any order form and the identities of our Data Providers ("Confidential Information"). The recipient will use the other's Confidential Information only to perform or use the Service under the Agreement. It will protect that information with at least reasonable care, and share it only with its employees, contractors, advisors and service providers who need it and are bound by similar obligations. These obligations don't cover information that is or becomes public through no fault of the recipient, that the recipient already had or independently developed, or that it received lawfully from someone else. The recipient may disclose information when the law requires it, after giving notice where permitted. You may also share our Confidential Information with a regulator or examiner with authority over you that asks for it. Section 5.6 governs our disclosure of Customer Data.
11. Ownership and feedback
We and our licensors own the Service, our software, documentation, reference data (but not Customer Data), the Phone Validator and PhoneValidator.com names and logos, and our other trademarks. The Agreement gives you only the rights it expressly grants. You may not copy, modify or reverse engineer the Service, except as the law allows despite this restriction. If you send us suggestions or feedback, we may use them without obligation to you. We won't name you as a customer in our marketing without your permission.
12. Disclaimers
12.1 Results can be wrong. Phone numbering and carrier data changes constantly, comes partly from third parties and can be incomplete, delayed or wrong. We do not warrant that any result is accurate, complete or current, including line type, carrier, porting status, validity or location. You are responsible for deciding whether a result is suitable for your purpose and for checking it independently where accuracy matters.
12.2 As is. EXCEPT AS EXPRESSLY STATED IN THE AGREEMENT, THE SERVICE, RESULTS AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR DATA PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE. WE MAKE NO WARRANTY ABOUT, AND ARE NOT RESPONSIBLE FOR, ANY TELECOMMUNICATIONS CARRIER OR DATA PROVIDER.
12.3 Your remedy for a wrong result. If a result is wrong because of our error, your only remedy, and our only obligation, is for us to redo the lookup or credit its price to your balance, if you tell us within 60 days of the lookup.
13. Limitation of liability
13.1 No indirect damages. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY. Reasonable costs of investigating a Security Incident (as defined in the DPA) caused by our breach of the DPA, and of notices the law requires because of it, are direct damages, subject to Section 13.2.
13.2 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT AND THE SERVICE, FOR ALL CLAIMS TOGETHER, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT FIRST GAVE RISE TO LIABILITY AND (B) US$100. Promotional credit is not an amount paid.
13.3 Exceptions. Sections 13.1 and 13.2 do not limit:
- your obligation to pay fees;
- your obligations under Section 14.1;
- your liability for breaching Section 4, 6 or 7, or for using the Service in violation of law;
- our liability for breaching Section 5.3(a) to (c) or Section 4 of the DPA; or
- liability for a party's fraud or willful misconduct, or other liability the law does not allow to be limited.
13.4 Why these limits exist. Our prices reflect these allocations of risk. Without them we could not offer the Service at these prices. They apply even if these remedies don't fully make up for your loss.
13.5 Data Providers. To the fullest extent permitted by law, our Data Providers have no liability to you, your customers or your end users arising out of or relating to the Service or results.
14. Indemnification
14.1 By you. You will defend Phone Validator, its members, managers, employees, contractors and Data Providers against any third-party claim, investigation or proceeding, and pay the resulting losses, damages, fines, penalties, settlements and reasonable attorneys' fees, to the extent it arises from:
- your use of the Service or results, including calls, messages, marketing or decisions you make;
- Customer Data, including a claim that you lacked the right, notice or consent to submit or use it;
- your breach of the Agreement, including the Acceptable Use Policy;
- your violation of law, including telemarketing, consumer protection, FCRA and privacy laws; or
- any claim by your customers or end users relating to the Service or results.
This includes use through your account, API keys and integrations, other than use Section 3.1 says you aren't responsible for, and by your customers and end users. Your duty to defend arises when the claim is tendered to you and does not depend on its merits. If only part of a claim is within this Section 14.1, you will defend the whole claim until it is resolved or we agree on an allocation, and we will then reimburse defense costs and amounts paid for the parts outside it. This Section 14.1 does not apply to the extent a claim arises from our breach of the Agreement, including the DPA, our gross negligence or willful misconduct, how we operate free lookups (but not your use of a free lookup or its result), how we handle requests to stop looking up a number, or a claim that our own processing of Customer Data, as the Agreement permits it, violates a law that applies to us.
14.2 By us. We will defend you against any third-party claim that the Service, as we provide it, infringes a U.S. copyright or trademark or misappropriates a trade secret, and pay the resulting damages and costs finally awarded or agreed in settlement. We are not responsible for claims arising from Customer Data, results or third-party data, from combining the Service with anything we didn't provide, from changes not made by us, or from use in breach of the Agreement. If the Service is, or we believe it may be, subject to such a claim, we may get you the right to keep using it, modify it to avoid the claim, or end the affected Service and refund your unused purchased balance. Our total obligations under this Section 14.2, including defense costs, are subject to Section 13.2. This Section 14.2 states our entire obligation for infringement claims.
14.3 Process. The party seeking defense must notify the other promptly and cooperate reasonably. Delayed notice relieves the defending party only to the extent the delay prejudices it. The defending party controls the defense, and the other party may join with its own counsel at its own cost. If the defending party doesn't promptly take over the defense, or the parties' interests conflict, the indemnified party may control its own defense at the defending party's expense. No settlement may admit fault for, bind, or fail to fully release the indemnified party without its consent.
15. Disputes, arbitration and governing law
15.1 Talk to us first. Before starting arbitration or a lawsuit, the party with a dispute will send a written description of it to the other: to us at legal@phonevalidator.com and our mailing address, or to you at your account email. We will both try in good faith to resolve it within 30 days. Limitation periods are tolled during those 30 days.
15.2 Binding arbitration. Any dispute, claim or controversy arising out of or relating to the Agreement or the Service that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, before a single arbitrator. The arbitration is seated in Santa Barbara County, California. Hearings will be by video unless the arbitrator decides an in-person hearing is needed, which will be held in Santa Barbara County. The arbitrator decides all disputes about the interpretation, scope, applicability and enforceability of this Section 15, except that a court decides whether Section 15.3 is enforceable, including as to a request for public injunctive relief. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this Section 15.
15.3 Individual claims only. Each party may bring claims against the other only in its individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one party or preside over any class or representative proceeding, and may award declaratory or injunctive relief only for the individual party seeking it. If a court finds this Section 15.3 unenforceable as to a claim or request for relief, including public injunctive relief, only that claim or request goes to court under Section 15.5, stayed until the arbitration ends. This controls over Section 18.8.
15.4 Exceptions. Either party may bring an individual claim in small claims court. Either party may also seek temporary or preliminary injunctive relief in court in aid of arbitration, as California Code of Civil Procedure section 1281.8 allows.
15.5 Governing law and courts. The Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. For any matter not subject to arbitration, the parties consent to the exclusive jurisdiction of the state courts in Santa Barbara County, California, and the United States District Court for the Central District of California. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15.6 Mass filings. If 25 or more similar demands are filed against a party by the same or coordinated counsel, the AAA's Mass Arbitration Supplementary Rules and fee schedules apply. Each case stays individual, no award binds anyone who is not a party to it, and limitation periods are tolled while demands await administration.
16. Changes to these Terms
If you had an account or API key before October 22, 2026, this version applies to you from when you accept it or 30 days after we email you about it, whichever comes first; until then, the terms you previously agreed to apply.
We may update these Terms, the Acceptable Use Policy and the DPA. We will post the new version with its effective date. For a material change, we will tell you at least 30 days before it takes effect, by email to your account address or by notice in your account, unless the change is required sooner by law or a Data Provider, or only adds new features. We may ask you to accept the new version when you next sign in. You accept the new version by agreeing to it or by continuing to use the Service after it takes effect. If you don't agree to a material change, you may close your account before it takes effect, and we will refund your unused purchased balance. Changes don't apply to claims that accrued, or that were notified under Section 15.1, before they took effect. For services under a signed order form, changes that aren't required by law or a Data Provider take effect at the order form's next renewal or, if it has no fixed term, 90 days after we give notice. A change to an order form must be in a writing signed by both of us.
17. Order forms, partners and other agreements
17.1 Order forms and enterprise agreements. We may agree with you on an order form, enterprise agreement, statement of work or other document signed by both parties that adds to or changes these Terms, for example for volume pricing, invoicing, service levels or security commitments. It applies only to the services it covers.
17.2 Which document wins. If documents conflict, this order applies: (1) an order form or other agreement signed by both parties, for the services it covers, to the extent it addresses the conflicting subject, including a master agreement that states it supersedes these Terms, but it overrides the DPA only where it expressly says so; (2) the DPA, for the handling of personal information; (3) these Terms; (4) the Acceptable Use Policy; (5) our documentation. Preprinted or click-through terms in your purchase orders, invoices, vendor portals or other business forms don't apply, even if we accept them or complete your onboarding process. Accepting these Terms or a later version online, including at sign-in, doesn't change an agreement signed by both of us.
17.3 Resellers and partners. Section 6.4 sets the terms for Reselling, and no separate agreement is needed. We may agree different terms with a reseller, OEM or other partner in a signed agreement, for example for volume pricing, which then applies under Section 17.2. If you get results from a reseller under Section 6.4, your agreement is with the reseller only, and we have no obligations to you. If a partner sets up or pays for a Phone Validator account for you, these Terms govern its use, and your agreement with the partner governs fees and payment. Resellers and partners are not our agents and cannot change these Terms for us.
17.4 Third-party platforms. If you use the Service through a third-party platform, such as a CRM, automation or marketplace app, that platform's terms govern your use of the platform. We are not responsible for third-party platforms or how they handle your data.
18. General
18.1 Entire agreement. The Agreement is the entire agreement between us about its subject and replaces all prior or contemporaneous agreements, proposals and representations about it.
18.2 Assignment. Neither party may assign or transfer the Agreement without the other's written consent, except that either party may assign it, without consent, to an affiliate or to a successor in a merger, acquisition, reorganization or sale of all or substantially all of its business or of the assets the Agreement relates to. The Agreement binds and benefits permitted successors and assigns.
18.3 Events beyond control. Neither party is liable for failure or delay in performing (other than paying money) caused by events beyond its reasonable control. These include outages or failures of Data Providers, carriers, cloud or internet providers, acts of government, changes in law, natural disasters, epidemics, war, terrorism, labor disputes and cyberattacks that reasonable precautions would not have prevented.
18.4 Notices. We may give you notices by email to your account address, in your account or, for notices to all customers, on our website. Notices are effective when sent. You must send legal notices to us by email to legal@phonevalidator.com with the subject "Legal notice", with a copy by mail to Phone Validator LLC, 69 Santa Felicia Dr, Goleta, CA 93117, United States.
18.5 Electronic communications. You agree to receive communications from us electronically, and that electronic agreements, notices and records satisfy any requirement that they be in writing.
18.6 Relationship. We are independent contractors. The Agreement doesn't create a partnership, joint venture, agency or employment relationship. There are no third-party beneficiaries of the Agreement, except that our Data Providers may rely on and enforce Sections 6, 12, 13 and 14. That right is given on the terms of the Agreement: a Data Provider that relies on or enforces those Sections does so subject to Sections 13 and 15, including their limits of liability and dispute resolution terms.
18.7 Export and data security. You will comply with U.S. export control and sanctions laws in using the Service and will not make it or results available in violation of them. You will not provide results or access to a country of concern or covered person under 28 C.F.R. part 202, and you will tell us promptly if you learn of such a transfer.
18.8 Severability and waiver. If a court or arbitrator finds part of the Agreement unenforceable, that part will be enforced to the maximum extent permitted and the rest stays in effect, except as Section 15.3 provides. A party's failure to enforce a provision is not a waiver of it.
18.9 Interpretation. Headings are for convenience only. "Including" means "including without limitation". The Agreement will not be construed against either party as its drafter.
18.10 Contact. Phone Validator LLC, 69 Santa Felicia Dr, Goleta, CA 93117, United States. Support: info@phonevalidator.com. Legal notices: legal@phonevalidator.com. Security reports: security@phonevalidator.com.
18.11 Time limit for claims. To the extent the law allows, a claim arising out of or relating to the Agreement must be brought within one year after the claiming party knew or should have known of it. This does not apply to claims under Section 14, which accrue when the indemnified party pays or a judgment becomes final, or to claims for fees or refunds under Section 8.
